Commercial (Corporate and Bankruptcy)

We advise companies and professionals on all aspects of their commercial affairs. We draft commercial contracts and deal with any conflicts arising from the implementation thereof, including distribution contracts, agency contracts, or loan contracts, the challenge of company resolutions, actions of unfair competition and protection of industrial and intellectual property, among other issues.

In the case of firms in difficulty, our advice focuses on governing bodies and shareholding partners with regards to their rights and obligations, with particular emphasis on the liability scheme. We also act on restructuring processes of companies with the purpose of securing the success of their business without having to enter into voluntary bankruptcy or to avoid the application for a mandatory bankruptcy by creditors. When the bankruptcy is inevitable, we take part in all stages of the bankruptcy procedure, from the pre-insolvency phase to try to obtain refinancing or reach an agreement with the creditors, up until the termination of the procedure with the approval of the creditors’ agreement or liquidation.

We advise creditors of companies in crisis on the feasibility of the collection of their credits and defence in the event of bankruptcy proceedings.
